Terms and Conditions

Introduction

Effective Date: 2025 Feb 01. These Terms and Conditions (the “Agreement”) govern the use of the Custom Trip Planner SaaS Platform (the “Platform”) operated by TABIPRO Inc. (“Company,” “We,” “Us,” or “Our”). This Agreement applies to Destination Management Companies (“DMCs”), their authorized users (“DMC Users”), and any End Users, including travel agents and individual travelers, who access the Platform.

By accessing, browsing, or using the Platform, the DMC acknowledges that it has read, understood, and agrees to be bound by this Agreement. If the DMC does not accept this Agreement in its entirety, it must immediately cease using the Platform.

1. Definitions

For the purposes of this Agreement, the following definitions shall apply:

  • Destination Management Company (DMC): A business entity that contracts with the Company to use the Platform for managing travel itineraries, transportation, and accommodations for its clients.
  • DMC Users: The employees, agents, or representatives of a DMC who are granted access to the Platform.
  • End Users: Both travel agents and individual travelers who access travel itineraries created on the Platform.
  • Trip Plan: A structured itinerary created within the Platform, consisting of Stay Segments (accommodation bookings) and Travel Segments (ground transportation).
  • Active End User: Any End User who logs into the Platform using OAuth 2.0 authentication via Google, Facebook, or email login.
  • White Label Solution: A premium service that allows DMCs to customize the Platform with their branding and benefit from enhanced SLA agreements, additional integrations, and exclusive features.

2. User Management

DMCs subscribing to the Platform are granted the ability to create and manage an unlimited number of users under a single organizational account. The Platform does not support separate organizational entities for sub-brands or subsidiaries; all users within a DMC operate within a single, centralized account.

DMC Users can share Trip Plans with End Users, who may include both travel agents and individual travelers. The number of Active End Users within a DMC is incremented when a user first logs into the system using OAuth 2.0 authentication via Google, Facebook, or email login.

2.1. Country Restrictions

Use of the Platform is strictly prohibited for any DMCs, DMC Users, or End Users who are located in, residing in, or accessing the Platform from countries subject to U.S. trade sanctions, export control restrictions, or other regulatory prohibitions. These restrictions apply to, but are not limited to, the following jurisdictions:

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Crimea, Donetsk, and Luhansk regions of Ukraine
  • Any additional countries or territories designated by the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) or the U.S. Department of Commerce

DMCs are responsible for ensuring compliance with these restrictions and must not permit access to the Platform by any End Users located in restricted jurisdictions. The Company reserves the right to immediately terminate accounts, restrict access, and withhold services if it determines, in its sole discretion, that a user is in violation of these country restrictions.

3. Trip Planner Functionality

DMCs are provided with the ability to create, modify, and share an unlimited number of Trip Plans. Trip Plans are structured into Stay Segments, covering accommodation bookings, and Travel Segments, which include various ground transportation options such as trains and buses.

The Platform is available as a web-based application, optimized for both desktop and mobile access. The Company provides no express or implied guarantees regarding Platform uptime or service availability unless the DMC subscribes to a White Label upgrade, in which case specific Service Level Agreements (SLAs) may be contractually agreed upon.

3.1. Public Visibility of Trip Plans

By default, all Trip Plans created on the Platform are publicly accessible. There is no data segregation, role-based access control, or internal permissions structure in place. Any individual with access to a Trip Plan’s URL, whether shared by a DMC User or obtained by any other means, will be considered an End User of the Platform.

DMCs are solely responsible for determining how they share Trip Plans and acknowledge that anyone with the URL may view, distribute, or use the itinerary information. The Company shall not be liable for any unauthorized access, unintended disclosure, or misuse of trip details resulting from the public visibility of shared itineraries.

4. Transit Route Lookups

DMCs and End Users may conduct an unlimited number of transit route lookups for planning purposes. The maximum permitted trip length within the Platform is 60 days.

The Platform provides transit data, route availability, and pricing for up to 12 months in advance, but the accuracy and completeness of data beyond 12 months is not guaranteed. Availability for express trains is limited to 30 days in advance, and all transit routes beyond this timeframe are displayed as "available&quote; but are not guaranteed to be accurate or final.

Any pricing information provided through the Platform for transit routes is for informational and budgeting purposes only and shall not be considered binding. The Company does not process, confirm, or facilitate bookings for any transportation services and assumes no responsibility for ensuring transit services comply with local laws, regulations, or operational schedules.

5. Hotel Meta Search

The Platform includes a hotel meta-search feature that allows users to view room availability and pricing for accommodation providers. Hotel availability is accurate up to six months in advance, but there is no guarantee of availability beyond this period.

Hotel pricing is determined according to Japanese hospitality industry standards. Unlike traditional OTA platforms, the Platform provides detailed room plan descriptions, including seasonal variations, meal inclusions, and special regional pricing structures. Due to fluctuations in demand and availability, the same room plan (including breakfast, dinner, or amenities) may not be available year-round.

All pricing and availability information provided through the Platform is offered "as is" and without warranties. The Company is not responsible for booking accommodations, verifying compliance with local regulations, or guaranteeing that accommodations will be available as displayed in the Platform.

6. Destination Information & Activities

The Platform compiles destination information, local activities, and places of interest from publicly available sources, including regional tourism websites. While the Company makes reasonable efforts to ensure the accuracy of such information, it cannot guarantee that all details, pricing, or availability will be current or correct.

All activity pricing, opening hours, and operational conditions are provided "as is", and it is the sole responsibility of the DMC User and End User to verify such details directly with the service provider before making travel arrangements. The Company does not warrant the accuracy of information related to attractions, nor does it ensure that listed places of interest are operational or available at the time of travel.

6.1. AI-Generated Trip Plans & Destination Suggestions

The Platform utilizes Artificial Intelligence (AI) to generate custom Trip Plans and suggest destinations based on the DMC’s input preferences, past trip patterns, and general travel data. AI-driven suggestions may include recommended accommodations, transit routes, sightseeing spots, or local experiences tailored to the DMC’s typical traveler profile.

DMC Users acknowledge and agree that AI-generated content is inherently fallible and may contain errors, inaccuracies, or irrelevant recommendations. The Company does not guarantee that suggested destinations, accommodations, or itineraries will be suitable, relevant, or correctly aligned with the DMC’s needs.

7. PDF Itinerary Generation

The Platform includes unlimited PDF itinerary summary generation and email delivery for travel plans. While the Company makes reasonable efforts to ensure the accuracy and usability of the generated PDFs, it does not guarantee that all itinerary details will be correct or error-free.

PDF generation may fail due to technical issues, system errors, or data inconsistencies, resulting in a corrupt or incomplete PDF file. In such cases, DMC Users and End Users may access the original trip plan within the Platform, which remains accessible without expiration.

Booking support is not included in the standard SaaS subscription and requires a White Label upgrade for additional services.

8. Pricing & Billing

The standard SaaS subscription fee for the Platform is ¥50,000 per month, charged on the 25th of each month, with a minimum commitment of 12 months.

A 30-day free trial is available. Regardless of when in the month a DMC registers, the full fee for the next month must be paid.

Each DMC is entitled to up to 1,000 Active End Users per month at no additional cost. Additional End Users are billed at the following rates:

  • $2 per user per month for 501–1,000 additional users
  • $1.50 per user per month for 1,001–2,000 additional users
  • $1 per user per month for 2,001–5,000 additional users
  • Custom pricing applies for 5,000+ additional users

8.1. Payment Methods & Credit Card Policy

All payments for Platform subscriptions must be made exclusively via credit card. The Company does not accept bank transfers, PayPal, cryptocurrencies, or any other payment methods.

The DMC is responsible for ensuring that a valid and up-to-date credit card is associated with its account at all times. The Company will automatically charge the credit card on file for the applicable subscription fee on the 25th of each month.

9. Limitation of Liability & Disclaimers

9.1. General Disclaimer

The Company provides the Platform on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While the Company endeavors to ensure that the Platform operates efficiently and provides useful information, the Company does not guarantee that the data, recommendations, or services made available through the Platform will always be accurate, complete, or error-free.

9.2. No Liability for AI-Generated Content

The Platform incorporates Artificial Intelligence (AI) technology to generate itinerary suggestions, transit route estimates, and destination recommendations. AI-generated content is produced using a combination of publicly available data, machine learning models, and user preferences, but it may contain inaccuracies, outdated information, or irrelevant suggestions.

9.3. Limitation of Liability

To the maximum extent permitted by law, the Company, its officers, employees, affiliates, licensors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of business, lost profits, lost revenue, lost data, travel disruptions, or reputational damage, even if the Company has been advised of the possibility of such damages.

10. Customer Support

The Company provides customer support services to assist DMCs with inquiries related to the use of the Platform, technical issues, and general account management.

10.1. Email Support

Customer support is available via email. However, there is no guaranteed response time, and support requests are handled on a first-come, first-served basis. The Company will make reasonable efforts to address inquiries in a timely manner but does not guarantee immediate resolution or response within a specific timeframe.

10.2. Phone Support

Phone support is available during Japan business hours from 9:00 AM to 6:00 PM Japan Standard Time (JST), Monday to Friday, excluding Japanese national holidays. The Company does not provide 24/7 phone support or emergency assistance outside these hours.

11. Data Privacy & Usage Rights

11.1. Ownership of Trip Plans

All Trip Plans created by a DMC within the Platform are considered the intellectual property of the DMC. The Company does not claim ownership of the specific travel itineraries, routes, or customizations made by the DMC. However, by using the Platform, the DMC grants the Company a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, analyze, and process Trip Plan data as described in this Agreement.

11.2. Use of Data for AI Training & Product Improvement

The Company may collect, store, and analyze Trip Plans, itinerary details, transit and accommodation selections, and related metadata to enhance AI training models, improve Platform functionality, develop new features, and refine recommendation algorithms. This includes but is not limited to:

  • Training AI models to improve trip planning recommendations, destination suggestions, and transit optimizations.
  • Enhancing customer support efficiency by analyzing common user issues and trends.
  • Refining pricing and availability predictions based on aggregated user data.

The DMC acknowledges and agrees that Trip Plan data may be processed for these purposes without additional notice or compensation.

11.3. Use of Data for Marketing & Advertising

The Company reserves the right to use anonymized and aggregated data derived from Trip Plans to create promotions, advertising materials, reports, and insights about travel trends, popular destinations, and itinerary planning. Any identifiable details of a DMC, its travelers, or specific unpublished itineraries will not be disclosed without prior consent.

11.4. Data Sharing & Public Trip Plan Access

The Company does not actively share or sell Trip Plan data to third parties. However, DMCs must be aware that all Trip Plans created within the Platform are publicly accessible by default. Any individual with access to a Trip Plan URL—whether shared by a DMC User or obtained through any other means—will be considered an End User.

The Company is not responsible for unauthorized access, redistribution, or misuse of Trip Plans that are publicly available. It is the sole responsibility of the DMC to ensure that sensitive or proprietary trip details are not shared with unauthorized individuals.

11.5. No Data Confidentiality Guarantee

While the Company implements industry-standard security measures to protect user data, the Platform is not designed to function as a secure or private repository for confidential business information. The Company does not guarantee that Trip Plans, customer details, or itinerary data will remain confidential, encrypted, or inaccessible to unauthorized third parties.

By using the Platform, the DMC expressly waives any claims against the Company for data leaks, unauthorized access, or unintended disclosure arising from the public nature of Trip Plan sharing or AI-driven data processing.

11.6. Compliance with Data Protection Laws

The Company processes data in accordance with applicable data protection laws and regulations. However, the DMC is solely responsible for ensuring its own compliance with data privacy laws applicable in its jurisdiction when using the Platform, particularly when handling End User data.

If the DMC requires additional data protection measures, private storage, or restrictions on data usage, such services may be available through a custom enterprise agreement or White Label upgrade.

12. Service-Related & Operational Terms

12.1. Platform Availability & Scheduled Maintenance

The Company makes reasonable efforts to ensure the Platform remains accessible and operational. However, DMC Users acknowledge that the Platform may experience occasional downtime due to maintenance, updates, or unforeseen technical issues.

Scheduled maintenance activities will be conducted outside of standard Japan business hours (9:00 AM to 6:00 PM JST, Monday to Friday) whenever possible, to minimize disruption to users. During maintenance periods, partial or full service unavailability may occur without prior notification. The Company shall not be liable for any losses, delays, or disruptions caused by scheduled or unscheduled maintenance.

12.2. Modifications to the Platform

The Company reserves the right, at its sole discretion, to update, modify, enhance, discontinue, or restrict access to any features or functionalities of the Platform at any time without prior notice. Such modifications may include, but are not limited to:

  • Software updates, performance enhancements, and security improvements.
  • UI/UX changes, workflow adjustments, and API modifications.
  • Addition, removal, or restructuring of features, integrations, or services.

DMCs acknowledge that continued use of the Platform following any modifications constitutes acceptance of such changes. The Company shall not be liable for any losses, disruptions, or compatibility issues resulting from updates or discontinued features.

12.3. Third-Party Integrations & External Services

The Platform integrates with multiple third-party services to enhance its functionality, including but not limited to:

  • Mapping Platforms (e.g., Google Maps, OpenStreetMap) for route and location data.
  • Cloud Data Storage Providers for secure data storage and backup.
  • Application Server & Database Cloud Providers for Platform hosting and performance optimization.
  • Hotel & Route Search APIs for real-time accommodation and transportation availability.

DMC Users acknowledge and agree that these third-party services operate under their own terms and conditions, and the Company does not control their availability, reliability, pricing, or policies. The Company is not liable for any errors, interruptions, inaccuracies, or failures caused by third-party service providers, nor for any data loss, delays, or incorrect information originating from such integrations.

12.4. Data Retention & Deletion Policy

The Company retains Trip Plan data for a maximum of three (3) years for active accounts. After this period, the data will be archived, meaning it will no longer be accessible through the SaaS Platform but may be retrieved by the DMC upon request.

Archived Data:

  • Archived data is not actively maintained but can be restored upon request for a limited period at the Company’s discretion.
  • Requests for archived data retrieval may be subject to processing fees and will be fulfilled on a best-effort basis, with no guaranteed recovery timeframe.

Data Deletion upon Account Termination:

  • If a DMC terminates its subscription, all associated Trip Plan data will be deleted ninety (90) days after account termination, unless otherwise requested by the DMC before deletion.
  • The Company shall not be liable for any data loss resulting from account termination or failure to request archived data retrieval within the stated timeframe.

DMC Users are encouraged to export or back up any critical data before their retention period expires or before terminating their account. The Company does not provide automatic backups or long-term data storage beyond the defined retention period.

13. User Responsibility & Restrictions

13.1. Acceptable Use Policy

DMC Users and End Users agree to use the Platform in compliance with all applicable laws, regulations, and these Terms & Conditions. The following activities are strictly prohibited:

  • Spamming & Unsolicited Communications – Users may not use the Platform to send unauthorized advertisements, bulk messages, or promotional materials.
  • Data Scraping & Unauthorized Automation – Users may not extract, harvest, or scrape Platform data, including Trip Plans, accommodation listings, transit information, or user details, whether manually or via automated means such as bots, crawlers, or scripts.
  • Hacking & Security Violations – Any attempt to gain unauthorized access to the Platform, compromise system security, bypass authentication mechanisms, introduce malicious code, or disrupt service functionality is strictly forbidden.
  • Unauthorized API Usage – The Company’s API is for approved, intended uses only. Any excessive API calls, unauthorized integrations, or abuse of API endpoints may result in account suspension.
  • Misrepresentation & Fraud – Users may not impersonate other individuals, misrepresent affiliations with an organization, or provide false information in order to manipulate data, pricing, or user experience.
  • Platform Misuse – Users must not exploit system vulnerabilities, attempt to reverse-engineer, or decompile any aspect of the software.
  • Publicly Sharing Confidential or Sensitive Data – While the Company does not guarantee confidentiality, users are still prohibited from knowingly sharing unauthorized, confidential, or private data through the Platform.

Violations of this Acceptable Use Policy may result in immediate account suspension, termination, and legal action at the Company’s discretion. The Company reserves the right to investigate any suspected violations and cooperate with law enforcement authorities as required.

13.2. Intellectual Property Rights

The Platform, including its software, design, trademarks, copyrights, logos, branding, proprietary technology, AI models, API, databases, and all associated content, is and shall remain the exclusive property of the Company.

DMCs and End Users acknowledge that:

  • No Ownership Rights – Use of the Platform does not grant users any ownership rights, title, or interest in the Company’s intellectual property.
  • License to Use – The Company grants DMC Users a non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with this Agreement.
  • Restrictions on Use – Users may not copy, modify, reproduce, distribute, sell, sublicense, or create derivative works based on the Platform or its proprietary elements.
  • Enforcement – Any unauthorized use, duplication, or infringement of the Company’s intellectual property rights may result in legal action, including but not limited to injunctive relief, damages, and account termination.

Users may not use the Company’s trademarks, branding, or logos in any way that suggests endorsement, partnership, or affiliation without prior written consent from the Company.

13.3. User Content & Liability

DMCs and End Users are solely responsible for any content, data, or materials they upload, submit, or share within the Platform. This includes but is not limited to:

  • Trip Plans & Itinerary Data
  • Images, descriptions, and custom notes
  • Booking references, transportation details, and traveler information

By submitting content to the Platform, the user represents and warrants that:

  • The content does not infringe upon any third-party rights, including copyrights, trademarks, privacy, or proprietary data.
  • The content is lawful and does not contain defamatory, misleading, or offensive material.
  • The user has all necessary rights, permissions, and authority to share the content.

14. Subscription & Termination Policies

14.1. Account Termination & Suspension

The Company reserves the right to suspend or terminate a DMC’s account, without prior notice, under the following conditions:

  • Violation of Terms & Conditions – If the DMC or any of its authorized users breach any provision of this Agreement, including but not limited to misuse of the Platform, failure to comply with the Acceptable Use Policy, unauthorized API usage, or intellectual property infringement.
  • Failure to Pay Subscription Fees – If a DMC fails to make timely payments or if the associated credit card is declined, expired, or otherwise invalid, and payment is not rectified within the five (5) day grace period following the due date.
  • Fraudulent or Unauthorized Use – If the Company reasonably believes the Platform is being used for fraudulent, illegal, or unauthorized activities, including impersonation, misrepresentation, or exploitation of system vulnerabilities.
  • Regulatory Compliance – If required by law, government regulations, or in response to a court order or enforcement action, the Company may suspend or terminate an account.

Upon suspension or termination, the DMC and all associated users will lose access to the Platform, and all data may be deleted permanently in accordance with the Data Retention & Deletion Policy. The Company shall not be liable for any loss of data, business interruption, or damages resulting from account suspension or termination.

14.2. Refund Policy

All subscription payments are non-refundable. The Company does not issue refunds for any unused portion of the subscription period, including:

  • Partial months of service.
  • Early cancellation of an active subscription.
  • Suspension or termination due to a violation of these Terms & Conditions.
  • Downtime or service interruptions not covered by a White Label SLA agreement.

DMCs are responsible for evaluating the Platform during the 30-day free trial period before committing to a paid subscription. Once a payment is processed, no refunds or credits will be issued, regardless of the circumstances.

14.3. Contract Renewal & Cancellation

All DMC subscriptions are annual contracts that auto-renew at the end of each 12-month period unless explicitly canceled by the DMC.

  • Auto-Renewal – Unless canceled, the subscription will automatically renew for an additional 12-month term at the then-current pricing.
  • Cancellation Policy – DMCs may cancel their subscription at any time, but the cancellation will take effect starting the following month. Even if the cancellation occurs on the same day as the monthly credit card charge (25th), the subscription will remain active until the end of that billing cycle.
  • No Partial Refunds for Cancellations – If a DMC cancels their subscription, they will retain access to the Platform until the last day of the current billing cycle, but no prorated refunds or credits will be provided.

DMCs are responsible for managing their subscription status and ensuring timely cancellation to avoid unintended renewals. The Company is not liable for charges incurred due to a DMC’s failure to cancel before a renewal date.

15. Security & Liability Protections

15.1. User Account Security

DMCs and End Users are solely responsible for maintaining the security and confidentiality of their account credentials, including but not limited to usernames, passwords, API keys, and authentication tokens. The Platform supports OAuth 2.0 authentication, including Google, Facebook, and email-based logins, but the Company does not store plaintext passwords and implements industry-standard encryption protocols to protect user credentials.

To ensure security, DMC Users must take reasonable precautions to prevent unauthorized access to their accounts. Such measures include using strong, unique passwords, enabling multi-factor authentication (if available), and restricting access to trusted individuals only. Users may not share their login credentials with unauthorized third parties, and any actions performed under a user’s account shall be assumed as authorized by the account holder unless explicitly reported otherwise.

The Company shall not be liable for unauthorized access, fraudulent use, or security breaches resulting from user negligence, weak passwords, phishing attacks, or other failures to implement adequate security measures. If a DMC suspects that its account has been compromised, accessed by an unauthorized party, or misused, it must immediately notify the Company. The Company reserves the right to temporarily suspend or permanently terminate any account that it determines to have been compromised or involved in unauthorized activity.

15.2. Data Security Measures

The Company employs commercially reasonable security measures to protect Platform data, including but not limited to:

  • End-to-end encryption (SSL/TLS) for data transmission to prevent interception during communication.
  • Encrypted storage for sensitive information to protect against unauthorized access.
  • Regular vulnerability assessments and security audits to identify and mitigate potential risks.
  • Strict access controls and multi-layer authentication mechanisms for administrative functions.
  • Real-time monitoring and logging of system activities to detect and prevent unauthorized access.

Despite these efforts, no security system is infallible, and the Company does not warrant or guarantee absolute protection against cyber threats, unauthorized access, malware, or hacking attempts. The Company shall not be liable for data loss, data breaches, or service interruptions caused by third-party attacks, user negligence, or force majeure events.

In the event of a data breach affecting sensitive user information, the Company will conduct an internal investigation and, where required by applicable law, notify affected DMCs and End Users of the incident along with recommended security actions. However, the Company assumes no responsibility for financial losses, reputational damage, or business disruptions resulting from such breaches.

DMCs are strongly encouraged to implement their own data protection policies, including regularly backing up essential business data, using firewalls and endpoint security measures, and training employees on cybersecurity best practices.

15.3. Indemnification

By using the Platform, the DMC agrees to indemnify, defend, and hold harmless the Company, including its officers, directors, employees, affiliates, and service providers, from and against any and all claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

  1. User-generated content and itinerary details that infringe upon third-party intellectual property rights, misrepresent travel services, or otherwise violate laws and regulations.
  2. Unauthorized use of the Platform, including misuse of APIs, fraud, or data scraping activities.
  3. Failure to verify the accuracy of AI-generated content or travel information before sharing it with End Users, leading to disputes, financial losses, or reputational damage.
  4. Claims from End Users, travelers, hotels, transportation providers, or tourism agencies alleging misinformation, service failures, or booking errors resulting from itineraries created on the Platform.
  5. Breach of this Agreement or violation of applicable laws by the DMC, its employees, contractors, or affiliates.

The Company reserves the right to assume exclusive legal defense and control of any claim requiring indemnification, at the DMC’s expense. DMCs may not settle any claims without the prior written consent of the Company.

The Company reserves the right to remove or disable any content that violates these provisions or is deemed inappropriate, without notice or liability to the user.

15.4. Limitation of Warranties

The Company provides the Platform on an "as is" and "as available" basis, without any express or implied warranties. While the Company makes reasonable efforts to maintain and improve the Platform’s performance, it does not guarantee that the Platform will always be available, error-free, uninterrupted, or suitable for the DMC’s specific business needs.

The Company explicitly disclaims any warranties, including but not limited to:

  • Fitness for a particular purpose, including ensuring that AI-generated itineraries align with traveler expectations.
  • Uninterrupted or error-free access, including potential downtime due to server maintenance, system failures, or cybersecurity incidents.
  • Accuracy or completeness of AI-generated recommendations, as destination suggestions, pricing estimates, and travel itineraries may contain outdated or incorrect information.

DMCs acknowledge that reliance on AI-generated content is at their own risk and that it is their responsibility to review and verify all travel data before sharing it with End Users.

15.5. Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control. Such events include but are not limited to:

  • Acts of God, including earthquakes, floods, hurricanes, and other natural disasters.
  • Cybersecurity incidents, including data breaches, ransomware attacks, and server outages.
  • Government-imposed restrictions, including sanctions, regulatory changes, or internet shutdowns.
  • Disruptions caused by third-party service providers, including cloud storage providers, API integrations, and transit data sources.
  • Economic or geopolitical instability, including wars, strikes, labor disputes, or energy crises.

If a Force Majeure event substantially impacts Platform availability, the Company may suspend services without liability and will take reasonable steps to restore functionality as soon as possible. However, the Company is under no obligation to compensate DMCs for service interruptions caused by external factors beyond its control.
